Mikko Huimala

1. What are the most important aspects in your career?

The top three most important milestones in my career are the following:

(1) Working with the Finnish Competition Authority after graduation (2003–2006) as it allowed me to specialize in competition law at a very early stage of my career, and also taught how to manage complex cases both independently and as a part of a team.

(2) Working at the competition practice of a major independent Finnish law firm (2006–2016) where I learned the role of an attorney and became a trusted advisor for domestic and international clients. Allowed me to gain deep knowledge in merger control and antitrust issues in over a hundred M&A deals.

(3) Joining DLA Piper in 2016 as partner and head of Competition & Regulatory for Finland. The transition from a local law firm to a leading global firm with over 4400 lawyers in over 30 countries has been an extremely interesting journey, and one that has only just begun.

2. Why should the area of M&A be important to law students?

M&A is one of the most important drivers for development and growth for companies and the society as a whole. By combining complementary businesses, synergies and value can be created that would otherwise be forfeit. From a legal perspective, M&A is highly challenging, fast-paced and rewarding at the same time. Regardless of whether you will work as in-house counsel or at a law firm, M&A is likely to be a major cornerstone of your professional career as a lawyer.

3. A fun fact about you?

An item on my bucket list is to scuba dive the many well-preserved historical wrecks off the coast of Estonia.

1. What are the most important aspects in your career/ CV?

 

I did my LLM as Edmund Muskie fellow in the University of Minnesota. For the next 17 years I have been an attorney specialized on corporate, M&A and real estate. I’m proud to be one of the very few women who have been promoted to partnership in one of the largest law firms in Estonia. Even more proud that thereafter we had courage to found Jesse & Kalaus Attoneys.


2. Why should the area of M&A be important to law students?

 

The scope and complexity of the transactions make it probably the most interesting field. It also gives you the possibility to see and understand a much wider perspective than just legal one.


3. A fun fact about you (a famous quote that you live by/ hobby/ etc.)

 

The only failure is the failure to try.

Tanel Kalaus


1. What are the most important aspects in your career/ CV?

 

I started working as an in-house lawyer already during my studies at the university – it allowed me to concentrate my studies on these subjects that really matter. Then I went to study at Cambridge University and worked for 15 years in one of the biggest law firms in Estonia – being involved in huge transactions, making my name and getting to know how things are handled in big firms. This all led me to my own firm – Jesse & Kalaus Attorneys.


2. Why should the area of M&A be important to law students?

 

It is one of the few areas of law where you, as an outsider, have the possibility to actually see the full picture about a company and whether it complies with the different legal requirements that are applicable to it.

I’m a passionate fan of Arsenal FC and also play football myself

Rene Frolov

(1) What are the most important aspects in your career / CV?

I’ve been persistent and lucky enough to reach a number of personal professional goals since starting law-school back in 1999, but the three that stand out from the rest, as life-changing events, are: (a) my time as a stagiere (trainee) in the Legal Service of the European Commission back in 2006; (b) my time studying international trade law and antitrust law as a recipient of the Fulbright scholarship back in 2011/2012 and (c) becoming a partner and head of competition in FORT in the Spring of 2016. All these ‘events’ have been results of long-term hard work and thus particularly fulfilling.

(2) Why should the area of M&A be important to law students?

There are so many different aspects to M&A, from law & finance to project and people management, so M&A as a career choice is bound to be both challenging and rewarding, but more importantly, a very solid base if you want to become a lawyer with inter-disciplinary skills, i.e. one that does not do “law only”, but one that has, develops and employs multiple skills.

(3) A fun fact about you (a famous quote that you live by/ hobby/ etc.)

I’m a big fan of sports generally, but ice-hockey specifically and a life-time supporter of Leijonat, the Finnish national ice-hockey team – one of my favourite quotes, and one that I personally relate to and try to follow, is by the most successful Finnish ice-hockey player of all time Teemu Selänne: “Kehitys loppuu tyytyväisyyteen” (difficult to translate, but “progress stops upon satisfaction” is close).

(1) What are the most important aspects in your career / CV?

Since obtaining my first law degree in Estonia in 2001, I’ve worked both in the public and the private sector, both as an attorney-at-law in a law firm and an in-house legal counsel in a technology company. Such mixture of different experiences has been extremely beneficial in terms of my professional development. At some point of my career I also realised that “software is eating the world”, so I started studying again in Sweden and focused on the intersection of law and technology, as well as intellectual property. I think these have been some of the best decisions that I have made. 

(2) Why should the area of M&A be important to law students?

M&A is one of the legal areas that many lawyers need to understand. This especially applies to business lawyers that will be working in corporate legal departments that are under pressure of increasing workloads and must be able to handle a wide variety of legal matters, including M&A. It is also important in high growth areas (e.g. technology sector) where businesses use M&A as part of their corporate growth strategy, as opposed to organic growth. Furthermore, M&A provide lawyers with a great opportunity to develop professionally since advising of M&A transactions usually require that lawyers develop at least a general understanding of the business that is involved in a transaction. 

(3) A fun fact about you (a famous quote that you live by/ hobby/ etc.)

I used to love windsurfing when I was younger. In fact, I still do but haven’t really got much time for it in recent years. I especially used to enjoy “bad” and stormy weathers when no normal person would go outside – at almost every such opportunity, I was going to the seaside with my friends. Perhaps this is also the reason why I like the following quote: “Life is like a wave, you can’t change the way it breaks, just the way you ride it.”

(1) What are the most important aspects in your career/ CV?


Proving myself as an attorney and establishing TEDER Law Firm as a partner. Building my career constantly as a litigation attorney.

(2) Why should the area of M&A be important to law students?


It helps build strong work ethic and gives an opportunity to acknowledge the insides of business. Working as a junior associate on an M&A project puts you in a position where you are required to work through a large volume of documents and information as well as learn how to distinguish what is actually important from the legal point of view and what is important from the commercial aspect. Eventually you will see why all the smallest details may matter and identify possible problems which, without appropriate attention, may end up killing the deal and/or result in litigation.

At age 4 I threatened to sue my grandmother when she ran me a bath that was too hot.

Mariana Hagström


(1) What are the most important aspects in your career/ CV?


Being persistent in my career and becoming a partner at a reputable law firm in a very young age. Building and managing the firm for it to become one of the biggest law firms in Estonia. Founding my own - TEDER Law Firm in 2016.

(2) Why should the area of M&A be important to law students?
M&A requires team to work together constantly and for a longer period of time. As a young lawyer you are often tasked for handling small sections of transactions. In team you will learn scaling that attention to detail to the overall deal, will learn to see the bigger picture. M&A deals can be really stressful so you will learn to remain calm and keep your client goals in mind. It is very important to treat your team members and the attorneys of the other party with respect in order to getting the deal done.

Karl Kull


1. What are the most important aspects in your career/ CV?


The most important aspects in my CV that have been significant for my development:
(i) Starting my career in a law firm in the regulatory practice group but moving due different circumstances shortly afterwards to M&A where I have been for around 6 years. This change of direction luckily came early on and I found the area of law that was meant for me.
(ii) Working at Tartu University for several years – 3 years as lecturer of contract law seminars and recently giving a couple of lectures in securities law. This has given me deeper theoretical understanding of the laws that govern contracts, improved my lecturing skills and knowledge of these fields.
(iii) LLM degree in law and finance from Goethe Universiry, Institute for Law and Finance, Frankfurt, Germany – the curriculum concentrated on the contact points between law and business, what are the real life economic aspects and drivers behind contracts and transactions. This also gave me a chance to meet high level professionals from different fields and intern in Clifford Chance which provided me with more insight into the workings of a global high quality law firm.


2.Why should the area of M&A be important to law students?


M&A gives the student a broad view of many different legal and business aspects, which is important to navigate the constantly growing complexity of cross-border business needs. It is also useful for moving into other fields, including non-legal jobs. Additionally, working as M&A lawyer gives very good drafting, negotiation and organisation skills.


3. A fun fact about you (a famous quote that you live by/ hobby/ etc.)


At my free time I play a lot of squash (just in case I always accompany it with an explanation: the racket sport played in a small room with a rubber ball), which is not so well known, but I am using every opportunity to promote it.

1. What are the most important aspects in your career / CV? 


Without doubt - the most important aspect is the opportunity to work on challenging and varied assignments helping clients to solve their toughest corporate and merger and acquisitions challenges.

2. Why should the area of M&A be important to law students? 


A merger or acquisition can add considerable value to a business of your future clients. It is demanding and complex, no chance it ever gets boring.

1. What are the most important aspects in your career / CV? 


My work allows me to apply my skills in very different situations and circumstances so that there is no chance of routine. I also feel satisfied of being able to fix complicated problems for my clients and therefore bring about a positive change.

2. Why should the area of M&A be important to law students? 


M&A is often perceived as something really mystical and difficult. In fact it stands for two or more companies joining their businesses into one. Since this is an everyday part of business life and usually involves a lot of legal work, it is absolutely useful for your future work in case your interest is in business law.
